Requirements The candidate must be a fit and proper person as defined by the Austrian Financial Market Authority (FMA) and the Company's internal Fit & Proper Policy, possessing integrity, competence, and experience suitable for managing a regulated Crypto-Asset Service Provider (CASP). Master's or Bachelor's degree in Law, Finance, Business Administration, or a related field. Minimum 5-7 years of experience in financial services, fintech, or crypto-asset businesses, with direct accountability for AML/CFT compliance outcomes in at least part of that experience. Proven track record in managing regulated financial institutions or compliance-intensive businesses. Strong knowledge of crypto-asset technologies, markets, and regulations. Hands-on experience designing, implementing, or directly overseeing an AML/CFT compliance programme (customer due diligence, transaction monitoring, sanctions screening, suspicious activity/transaction reporting) within a regulated financial services or crypto-asset business. Prior experience acting as, or working in close coordination with, an Anti-Money Laundering Officer (AMLO) / Money Laundering Reporting Officer (MLRO). Working knowledge of the EU AML/CFT framework beyond its Austrian transposition, including AMLD5/6, the forthcoming AML Regulation (AMLR), and FATF Recommendations as applied to crypto-asset service providers Experience liaising with the Austrian Financial Intelligence Unit (Geldwäschemeldestelle) or an equivalent FIU, including suspicious transaction reporting Strong understanding of regulatory obligations under MiCA/MiCAR and the Austrian legal framework applicable to CASPs, in particular: Finanzmarkt-Geldwäschegesetz (FM-GwG) - the Austrian Financial Markets Anti-Money Laundering Act; under Art 23 FM-GwG, the Management Board holds overall responsibility for establishing and resourcing adequate AML/CFT internal controls. Wertpapieraufsichtsgesetz 2018 (WAG 2018) and Zahlungsdienstegesetz 2018 (ZaDiG 2018), relevant to internal audit, governance, and conduct obligations applied to the Company. Sanktionengesetz (SanktG) and related EU/Austrian sanctions and restrictive measures frameworks. Austrian Criminal Code (Strafgesetzbuch, StGB) and Finanzstrafgesetz (FinStrG), relevant to personal integrity and "no criminal record" fit & proper requirements. Wirtschaftliche Eigentümer Registergesetz (WiEReG), relevant to beneficial ownership disclosure obligations of the Company's management. FMA Rundschreiben (circulars) on internal organisation, risk analysis, and reporting obligations. Being subject to approval by the FMA as fit and proper, as part of the licensing and ongoing supervisory process. Demonstrated personal and professional integrity. No criminal record or history of bankruptcy. Excellent leadership, strategic thinking, and decision-making skills. Fluency in English and German (German is the FMA's official working language for supervisory correspondence, submissions, and on-site meetings). The candidate must reside in Austria and actively participate in day-to-day management. In line with the Company's Governance Policy, the Management Board must at all times include at least two managing directors resident in the EU and approved fit & proper by the FMA, with at least one managing director readily accessible to the FMA at all times and at least one accessible to staff at the Company's seat; managing directors must coordinate leave and travel so both requirements remain met. Willingness and ability to act jointly with the second managing director in representing the Company (four-eye principle) in line with the Company's Articles of Association and Austrian corporate law. Responsibilities Define and implement the strategic direction of the company in alignment with MiCA requirements. Ensure operational efficiency and scalability of services related to crypto-asset trading, custody, and exchange. Lead high-level business decisions and ensure the financial sustainability of the business. Supervise the preparation of annual reports, board minutes, and oversee external and internal audits. Ensure full and ongoing compliance with the MiCA Regulation, Austrian FMA guidelines, and related EU directives (e.g., AMLD5, PSD2 and DORA), as well as the Austrian FM-GwG, WAG 2018, ZaDiG 2018, SanktG, and WiEReG. Act as the principal point of contact for the regulator, including serving as the managing director designated as readily accessible to the FMA and able to provide requested information at all times, per the Company's Governance Policy. Take direct ownership of the Company's AML/CFT compliance framework, ensuring the adequacy of customer due diligence, transaction monitoring, screening, and suspicious activity/transaction reporting processes, in close coordination with the AMLO and the Chief Compliance Officer. Approve and periodically review the Company's Customer and Country Risk Assessment Methodology and business-wide ML/TF risk assessment, and ensure the AML/CFT function is adequately resourced as required under Art 23 FM-GwG. Ensure timely and accurate reporting to the Austrian Financial Intelligence Unit (Geldwäschemeldestelle) and full cooperation with law enforcement and regulatory requests relating to money laundering, terrorist financing, and sanctions. Ensure robust implementation of sanctions screening and asset-freezing obligations under SanktG and applicable EU restrictive measures regulations. Serve as escalation point for material AML/CFT findings, ensuring timely internal escalation to the Management Board and, where legally required, external reporting to competent authorities. Co-chair, together with the other managing director, the bi-weekly Management Board meetings, covering AML/CFT/sanctions matters, business and financial reports, cybersecurity, licensing updates, and HR matters, and ensure minutes are produced and circulated. Ensure the company maintains effective governance, risk, and compliance frameworks, including upholding the Company's Fit & Proper Policy for initial and ongoing suitability assessments of managing directors and Key Function Holders. Oversee the management of prudential safeguards, asset segregation, and security of client funds and crypto-assets. Regularly review the Company's Articles of Association and, where applicable, Management Board by-laws to ensure continued compliance with Austrian and EU regulatory requirements Represent the company to stakeholders, partners, regulators, and investors, acting jointly with the second managing director (four-eye principle) for acts of representation. Sign regulatory submissions and disclosures as required under MiCA, FM-GwG, and national corporate law. Maintain transparency and timely communication with shareholders and board members.
