As a Corporate Associate, you will report to our VP, Associate General Counsel, Securities and provide practical, business-oriented legal support across corporate finance, strategic transactions, and public-company compliance. You will work closely with internal business partners and outside counsel to help structure, negotiate, document, and execute complex projects in a fast-paced in-house environment.

This role is remote; with the option for hybrid out of one of our main offices (Austin, Tx/Castle Rock, Co/Irvine, Ca)

What you’ll do

Day-to-day scope for the Corporate Associate as described in the posting:

  • Advise internal business partners on corporate finance transactions, strategic initiatives, and other complex commercial matters
  • Draft, review, and manage credit agreements, security agreements, guarantees, and related financing documentation
  • Coordinate with outside counsel, counterparties, and internal cross-functional stakeholders on significant corporate projects
  • Support the structuring, execution, closing, and post-closing administration of multiple transactions
  • Contribute to business development efforts
  • Help develop efficient legal processes, transaction-management practices, and internal documentation standards
  • Perform other corporate, securities, and governance-related legal work as business needs evolve

What you’ll bring

  • Juris Doctor (JD) from an accredited law school
  • Active membership in at least one U.S. state bar
  • 3+ years of relevant corporate, finance, securities, or transactional legal experience at a law firm, in-house legal department, or both
  • Excellent drafting, analytical, written, and oral communication skills
  • Strong attention to detail and sound judgment in handling confidential and sensitive matters
  • Comfort and familiarity working with business and other non-legal stakeholders
  • Ability to manage multiple priorities and transactions in a fast-paced environment
  • A collaborative team player with strong initiative and desire to grow professionally
