- Lead legal support for financing transactions, including project financings, structured debt arrangements, acquisition financings, and credit facilities, including term sheets, loan documentation, covenant and diligence matters, intercreditor arrangements, and closings.
- Advise on the ongoing governance and administration of existing joint ventures and financing arrangements, including amendments, waivers, capital calls, compliance matters, and partner or lender relations.
- Support mergers, acquisitions, divestitures, and other strategic transactions, including structuring, diligence, negotiation, and documentation.
- Partner with Finance, Treasury, Tax, Development, Investor Relations, and other business teams to support capital formation and strategic initiatives and ensure seamless transaction execution.
- Draft and negotiate complex transaction agreements — JV and partnership agreements, investment agreements, loan and security documents, and ancillary agreements — in support of the company's strategic objectives.
